Commonwealth Authorities and Companies Regulations

I, The Governor-General of the Commonwealth of Australia, acting with the advice of the Federal Executive Council, make the following Regulations under the Commonwealth Authorities and Companies Act 1997.

Citation

 1. These Regulations may be cited as the Commonwealth Authorities and Companies Regulations.

Commencement

 2. These Regulations commence on 1 January 1998.

Interpretation

 3. In these Regulations, unless the contrary intention appears:

“Act” means the Commonwealth Authorities and Companies Act 1997.

Government business enterprises (Act, s 5)

 4. (1) For the definition of “GBE” in section 5 of the Act, the following authorities and companies are prescribed:

 (a) ADI Limited;

 (b) ANL Limited;

 (c) Australian National Railways Commission;

 (d) Australian Postal Corporation;

 (e) Australian Technology Group Limited;

 (f) Defence Housing Authority;

 (g) Employment National Limited;

 (h) Export Finance and Insurance Corporation;

 (i) Federal Airports Corporation;

 (j) Health Services Australia Limited;

 (k) Medibank Limited;

 (l) Snowy Mountains Hydro-electric Authority;

 (m) Telstra Corporation Limited.

 (2) Paragraph (1) (k) applies only from the date on which, by declaration under paragraph 34 (2) (a) of the Health Insurance Commission (Reform and Separation of Functions) Act 1997, the legal and beneficial interests in all of the shares in Medibank Limited vest in the Commonwealth.


Statutory marketing authorities (Act, s 5)

 5. For the definition of “SMA” in section 5 of the Act, the following authorities are prescribed:

 (a) Australian Dairy Corporation;

 (b) Australian Dried Fruits Board;

 (c) Australian Horticultural Corporation;

 (d) Australian Meat and Live-stock Corporation;

 (e) Australian Pork Corporation;

 (f) Australian Wheat Board;

 (g) Australian Wine and Brandy Corporation;

 (h) Australian Wool Research and Promotion Organisation;

 (i) Wool International.

Commonwealth authorities (Act, paragraph 7 (1) (b))

 6. For paragraph 7 (1) (b) of the Act, the Army and Air Force Canteen Service Board of Management is prescribed.

[NOTE:  As to the financial year of the Board that commenced on 31 January 1997, see the Audit (Transitional and Miscellaneous) Regulations.]

Notice of share acquisitions etc (Act, s 45 (2))

 7. (1) A notice of an event mentioned in subsection 45 (1) of the Act must include the following particulars:

 (a) the name and portfolio of the Minister who has the responsibility for the event;

 (b) the nature of the event;

 (c) the name of the company involved in the event;

 (d) the address of the principal place of business of the company;

 (e) whether the company is included in an official list of a stock exchange and, if so, the name of the stock exchange;

 (f) whether the company is:

 (i) a company limited by shares; or

 (ii) a company limited by guarantee; or

 (iii) a company limited by guarantee and shares; or

 (iv) an unlimited company; or

 (v) a no liability company;

 (g) if applicable, the name of the ultimate holding company and, if that company is a foreign company, the place of its incorporation;

 (h) a short statement about the event.

 (2) The statement mentioned in paragraph (1) (h) must include the following information:

 (a) the reasons for the event;

 (b) whether the Commonwealth will be under an obligation or will have a liability because of the event;

 (c) whether, because of the event, the Commonwealth:

 (i) has, or will have, control of the company; or

 (ii) has lost, or will lose, control of the company;

 (d) the dollar value of any consideration paid or received by the Commonwealth in relation to the event;

 (e) any other areas where the Commonwealth’s interests have been affected by the event.

 (3) In this regulation, each of the following terms has the meaning given by section 9 of the Corporations Law:

 (a) “company limited by shares”;

 (b) “company limited by guarantee”;

 (c) “foreign company”;

 (d) “no liability company”;

 (e) “ultimate holding company”;

 (f) “unlimited company”.
