Notice of Intention to make an Application to the Federal Court of Australia for confirmation of a Scheme for the transfer of the intermediated insurance business of Insurance Australia Limited (ABN 11 000 016 722) to CGU Australia Pty Limited (ABN 62 004 478 960) under Division 3A of Part III of the Insurance Act 1973 (Cth)

TAKE NOTICE that Insurance Australia Limited (ABN 11 000 016 722) (IAL”) and CGU Australia Pty Limited (ABN 62 004 478 960) (CGUA”) intend to apply to the Federal Court of Australia (Court) for orders confirming a scheme under Division 3A of Part III of the Insurance Act 1973 (Cth) (Act) for the transfer of the intermediated insurance business of IAL to CGUA (Scheme”).

Insurance Australia Group Limited ABN 60 090 739 923 (IAG) is the ultimate holding company of the IAG group of companies (IAG Group) and IAL and CGUA are both part of the IAG Group. The Scheme is being undertaken as part of an internal reorganisation.

If the Scheme is confirmed by the Court, certain insurance policies that were issued by IAL, as more fully described in the Scheme (Transferring Policies”) will transfer to CGUA. At the same time, CGUA will be substituted for IAL as the insurer under these policies. Any future claims made in respect of a Transferring Policy after the Scheme is confirmed will need to be made to CGUA.

Any person who holds a policy affected by the Scheme (“Affected Policyholder”) has the right to:

 

The hearing of the application will take place at 10.00am on 1 September 2025 in the Federal Court of Australia at the Law Courts Building, Queens Square, 184 Phillip Street, Sydney, New South Wales 2000.

Any person who is or, in the Court’s opinion, may be affected by the Scheme can ask the Court, at the hearing, to be

heard on the application. It is important that Affected Policyholders take notice of the Scheme and consider whether they wish to attend the hearing. If you wish to be heard at the hearing, please inform IAL and CGUA’s lawyers, King & Wood Mallesons, at least three business days before the hearing date. Their contact details are:

Copies of this Notice of Intention, the Scheme, a summary of the Scheme that has been approved by the Australian Prudential Regulation Authority, the actuarial reports of Mr Kaise Stephan of Deloitte Touche Tohmatsu on which the Scheme is based (“Actuarial Reports”), the advice and opinion on the Scheme prepared by Brett Ward, the actuary of IAL and CGUA appointed under section 39 of the Act (“Appointed Actuary Report”) and actuarial peer reviews of the Actuarial Reports and the Appointed Actuary Report prepared by Lisa Simpson of PricewaterhouseCoopers (collectively, the Scheme Documents) will also be available on the website https://www.iag.com.au/cgua-licence, which is also accessible via https://www.iag.com.au, https://www.cgu.com.au and https://www.wfi.com.au from 1 July 2025 until the date the application is heard by the Court.

Affected Policyholders may request a copy of the Scheme Documents (free of charge) by contacting IALs representative on 1300 110 639 between the hours of 9:00am to 5:00pm AEST, Monday to Friday, during the period 1 July 2025 to 1 September 2025 (other than public holidays in New South Wales) or by email at CGUALicence@iag.com.au.

Affected Policyholders may also inspect or obtain copies of the Scheme Documents (free of charge) between the hours of 9:00am to 5:00pm AEST, Monday to Friday, during the period 8 July 2025 to 29 July 2025 at the places set out below (other than public holidays in the relevant State or Territory):

However, it is recommended that each Affected Policyholder obtain and review a copy of the Scheme Documents to understand the impact of the Scheme on their rights and interests.
